Chewy's most striking second-quarter number was 84.6%: the share of sales attributed to Autoship customers. That measures spending by a customer group, including purchases outside Autoship, rather than subscription-only revenue. The distinction matters when assessing a business that grew revenue 7.3% to $3.33 billion and reported $80.5 million in net income. Its customer base is valuable, but the quarter also benefited from approximately $10 million in tariff and rebate reimbursements and $24 million in legal-settlement proceeds. Meanwhile, quarterly free cash flow fell. Q2 release, Q2 10-Q.
The Headline Numbers
Chewy reported these results on September 9, 2026, for the 13 weeks ended August 2. Dollar amounts in the table are USD millions; percentages are calculated from the reported amounts.
| Metric | Q2 FY2026 | Q2 FY2025 | YoY change |
|---|---|---|---|
| Revenue | $3,330.2M | $3,104.2M | +7.3% |
| Cost of goods sold | $2,319.0M | $2,162.0M | +7.3% |
| Gross profit | $1,011.2M | $942.2M | +7.3% |
| Selling, general and administrative | $704.4M | $671.9M | +4.8% |
| Advertising and marketing | $214.8M | $200.6M | +7.1% |
| Operating income | $92.0M | $69.7M | +32.0% |
| Interest and other income, net | $19.9M | $4.3M | +362.8% |
| Pretax income | $111.9M | $74.0M | +51.2% |
| Income-tax provision | $31.4M | $12.0M | +161.7% |
| Net income | $80.5M | $62.0M | +29.8% |
The operating improvement is real: gross profit increased $69.0 million while operating expenses increased $46.7 million. More of each incremental sales dollar reached operating income. But the much larger percentage increase below the operating line came partly from the settlement. These are different sources of profit with different implications for next quarter. Q2 financial statements.
The identified benefits belong in separate calculations after the reported figures:
| Calculation, USD millions | Reported | Excluding identified benefit |
|---|---|---|
| Operating income, excluding tariff/rebate reimbursement only | 92.0 | Approximately 82.0 |
| Pretax income, excluding legal-settlement proceeds only | 111.9 | 87.9 |
These calculations isolate individual items; they are not Chewy's adjusted earnings measures and do not remove acquisition costs. An after-tax adjustment would require assumptions about each item's tax treatment. Subtracting $24 million directly from net income would confuse a pretax gain with its after-tax effect. Q2 10-Q, Note 2 and MD&A.
Revenue Deep Dive: Repeat Customers and a Broader Basket
Chewy reports one operating and reportable segment. Its product categories provide useful sales detail, but they do not disclose separate segment profits. All amounts below are USD millions.
| Product category | Q2 FY2026 | Q2 FY2025 | YoY growth |
|---|---|---|---|
| Consumables | 2,233.4 | 2,149.4 | 3.9% |
| Hardgoods | 395.8 | 346.1 | 14.4% |
| Pet health and specialty | 578.9 | 507.6 | 14.0% |
| Other | 122.1 | 101.1 | 20.8% |
| Total | 3,330.2 | 3,104.2 | 7.3% |
Consumables remain the foundation, accounting for about two-thirds of revenue. Their slower growth makes the rest of the basket consequential: the largest category alone does not explain the consolidated growth rate. It also makes replenishment behavior central to the investment case. Q2 10-Q, revenue disaggregation.
Hardgoods contributed faster growth from a smaller base. The useful test is whether customers continue expanding their purchases beyond replenishment products. A single quarter of category growth does not establish a permanent change in purchasing frequency.
Pet health and specialty also grew faster than the company. This supports the logic of broadening the relationship with pet owners, although the acquisitions complicate the comparison. Chewy's presentation puts revenue growth excluding acquisitions at 5.7%, below the consolidated 7.3%. The difference means purchased businesses contributed to the headline expansion. Q2 presentation.
Other revenue grew fastest but represented less than 4% of sales. Small categories can improve the business mix without becoming its principal growth engine. Because category margins are undisclosed, assigning a precise profit contribution to that shift would go beyond the evidence.
Another useful operating signal is the scale of spending among Autoship customers. Autoship customer sales rose 9.3% to $2,817.2 million. Active customers increased 3.8% to approximately 21.7 million, while net sales per active customer reached $602. The latter measures trailing-four-quarter spending, not spending in this quarter alone. These metrics are not a direct measure of retention within a fixed customer cohort. Q2 presentation.
Autoship customer sales include purchases outside the program by customers who had an Autoship order shipped during the preceding 364 days. A customer can therefore contribute both scheduled replenishment and discretionary purchases to this metric. Its 84.6% share shows the importance of an engaged customer group; it is not contracted annual recurring revenue. Nor does an increase in spending per customer establish a price increase. Mix, frequency and customer composition can all affect it. Q2 10-Q, operating-metric definitions.
CEO Sumit Singh emphasized “The durability of our recurring revenue base, continued customer growth, and disciplined execution”. The customer and sales figures support that confidence in repeat purchasing. Our commentary review covers the official release and presentation; those documents do not establish demand exceeding supply, a broad industry upcycle, an above-plan product or market expansion, sustained selling-price increases, or tight supply. Q2 release.
The Margin Story
Four consecutive quarters show the difference between gross-margin progress and the less predictable conversion into bottom-line profit. These are GAAP margins calculated from reported statements, rounded to two decimal places.
| Fiscal quarter | Gross margin | Operating margin | Net margin |
|---|---|---|---|
| Q3 FY2025 | 29.78% | 2.09% | 1.90% |
| Q4 FY2025 | 29.40% | 1.30% | 1.20% |
| Q1 FY2026 | 30.13% | 3.83% | 2.82% |
| Q2 FY2026 | 30.36% | 2.76% | 2.42% |
The table uses the Q3 FY2025 release, Q4 FY2025 release, Q1 FY2026 release, and Q2 FY2026 release.
The sequential comparison is especially revealing. Q1 and Q2 generated virtually identical gross profit: $1,011.4 million and $1,011.2 million. Operating expenses rose from $882.9 million to $919.2 million, accounting for almost the entire $36.5 million decline in operating income. A higher gross-margin percentage did not produce higher operating profit. Q1 statement, Q2 statement.
The year-over-year comparison also needs care. Reported Q2 gross margin rounded to 30.4% in both years. Removing the current reimbursement alone produces an estimated 30.06% margin, about 30 basis points below the current reported calculation. But the prior-year quarter also included vendor reimbursements whose amount is not quantified in the current discussion. This is not enough information to build a clean, symmetric underlying-margin comparison. Q2 10-Q, MD&A.
Chewy's current $226.7 million adjusted EBITDA and 6.8% adjusted margin offer a different perspective. They exclude costs including stock compensation and related taxes, which totaled $85.9 million. Stock compensation is a recurring economic cost even when it is excluded from that performance measure. Investors should follow the adjusted margin alongside GAAP operating profit, rather than treating the two measures as interchangeable. Q2 presentation, reconciliation.
The Big Question: Can Expansion Earn Its Cash Back?
Chewy is committing capital to a broader pet-health business while buying back shares. The standard for success is therefore becoming more demanding: growth must justify the cash invested and the obligations added.
SmartPak and Modern Animal consumed $174.8 million and $378.0 million of cash, respectively, net of cash acquired. Goodwill rose from $39.4 million at fiscal year-end to $334.1 million, and net intangible assets reached $149.7 million. Those balances represent acquisition value that future operating results must support. They do not themselves demonstrate a return on investment. Q2 10-Q, acquisition notes.
Cash generation gives the first test. All amounts below are USD millions; free cash flow is Chewy's non-GAAP measure of operating cash flow less capital expenditures.
| Cash-flow measure | Q2 FY2026 | Q2 FY2025 | Change |
|---|---|---|---|
| Operating cash flow | 137.4 | 133.9 | +3.5 |
| Capital expenditures | 47.9 | 28.0 | +19.9 |
| Free cash flow | 89.5 | 105.9 | -16.4 |
Operating cash flow increased modestly, but additional capital spending more than absorbed that gain. Free cash flow fell 15.5%. That does not establish that the investment is unproductive; it establishes that the earnings improvement has yet to translate into stronger quarterly cash after capital spending. Q2 presentation, cash-flow reconciliation.
Across the first half, free cash flow was $160.3 million, compared with acquisition cash payments of $552.8 million and share repurchases of $400.0 million. Operating cash generation alone did not cover that combined deployment. The balance sheet now includes $600 million of debt principal, with a carrying amount of $591.7 million after financing adjustments, versus $612.2 million of cash and marketable securities. Lease obligations remain additional claims on the business. Q2 10-Q, cash flows and debt note.
The company has room to execute, but a cash balance close to debt carrying value provides a different cushion from a large unencumbered cash reserve. The next useful evidence will be acquisition contributions, sustained operating cash generation and spending discipline. Acquisitions can broaden customer relationships; their financial success depends on what those relationships earn after integration and ongoing investment.
Management's FY2026 outlook calls for $13.46–$13.57 billion of sales and a 6.7%–6.8% adjusted EBITDA margin. That sets a measurable operating target. It does not remove the need to track cash conversion or establish that acquisition returns already exceed their cost. Q2 presentation, outlook.

Equity:Adjustments 80.5 MUSD ; reported net income/loss offset; retained earnings set by balance assertionAmounts in the transaction use MUSD, meaning millions of U.S. dollars. Revenue and income gains use negative postings; expenses generally use positive postings. The reimbursement is a negative expense posting because it reduces cost of goods sold. Net interest expense is a positive posting within Income:OtherNet, offsetting that account’s income gains. The $80.5 million earnings offset balances the statement. The separate reimbursement and settlement postings preserve their identity without changing reported totals.
The approximately $10 million reimbursement also illustrates the limits of precision: the estimated cost before that reimbursement must remain labeled as an estimate. An accounting file can balance exactly while one analytical split depends on rounded disclosure. Arithmetic consistency does not manufacture measurement precision.
The balance-sheet number to watch is goodwill: its rise to $334.1 million makes the acquisition strategy visible independently of management's growth narrative. Future earnings and cash flow will determine whether that larger asset base earns its place. Q2 balance sheet.
The ledger covers FY2021–FY2025 annual statements and the single quarter FY2026Q2. FY2026Q1 appears in this article’s margin comparison but is not included in the ledger. This is annual coverage plus one quarter, not a continuous quarterly history.
The Multi-Year Arc
The longer record shows a business with stronger gross economics and improving operating profitability. Dollar figures below are USD millions; margins are calculated from the reported statements.
| Fiscal year | Revenue | Gross margin | Operating margin | Net income | PP&E, net |
|---|---|---|---|---|---|
| FY2021, recast | 8,967.407 | 26.60% | -0.82% | -75.207 | 367.421 |

| FY2025 | 12,601.5 | 29.79% | 2.02% | 222.8 | 552.3 |
The FY2021–FY2022 figures reflect the later common-control consolidation of Chewy Pharmacy KY. Mixing original and recast reports would create a false comparison. Sources are the recast statements, FY2023 10-K, FY2024 10-K, and FY2025 10-K. Precision follows each filing: earlier amounts were disclosed in thousands, while FY2025 uses millions to one decimal.
Revenue expanded by roughly 41% across this span, accompanied by more than three percentage points of gross-margin improvement. The operating margin is a cleaner view of that progress than the headline net-income series. FY2024 included a $275.669 million deferred-tax valuation-allowance release; FY2025 included a much smaller $2.4 million release. The subsequent decline in net income therefore does not mean operating profitability deteriorated. FY2024 tax note, FY2025 tax note.
Calendar length matters too: FY2024 contained 53 weeks. FY2025 revenue growth was 6.2% as reported and 8.3% excluding that extra comparison week. The durable pattern is expanding gross profit and a larger operating business; individual annual growth rates need the fiscal-calendar context. FY2025 earnings release.
The Verdict: Bull vs. Bear
Bull Case
- Sales excluding acquisitions still grew 5.7%, providing evidence of expansion beyond purchased revenue.
- Autoship customer sales grew 9.3%, faster than total sales, supporting the importance of repeat purchasing.
- Operating income rose 32.0% as operating expenses grew more slowly than gross profit.
- Gross margin improved from 26.60% in recast FY2021 to 29.79% in FY2025, showing progress beyond one quarter.
Bear Case
- Approximately $10 million of reimbursement benefits supported Q2 operating profit; a fully comparable prior-period adjustment is unavailable.
- The $24 million settlement gain improved pretax earnings without demonstrating stronger customer economics.
- Quarterly free cash flow fell 15.5%, while acquisitions and buybacks exceeded first-half free cash flow.
- The 84.6% metric does not establish contracted revenue, pricing power or supply-constrained demand. New debt increases the importance of converting customer growth into cash.
Our Take: Chewy has earned credibility as an improving retail operator. We would judge its next phase by acquisition returns and cash conversion, with GAAP operating profit as the starting point. Repeat-customer spending supports the business case, but it does not justify treating every sale as a subscription or every earnings gain as recurring. This quarter supports continued operating progress; the added debt and weaker quarterly free cash flow raise the bar for what must come next.
