Zoom printed $1.54 billion of GAAP net income on $1.28 billion of revenue. Read that again: net income was 121% of revenue — because $1.61 billion of it is an unrealized markup on Zoom's Anthropic preferred shares, remeasured on Anthropic's financing round announced May 28, 2026. Operating income was $314 million, down 2% year over year, and the quarter's actual cash proceeds from strategic investments were $125,000. The public Beancount ledger below keeps the two apart: the Anthropic gain gets its own posting, never folded into anything operating.

The Headline Numbers

Zoom's fiscal year ends January 31, so Q2 FY2027 is the three months ended July 31, 2026. Every figure below comes from the Form 10-Q and the earnings release; annual history is from the FY2022–FY2026 Forms 10-K.

Two companies reported this quarter. The software company grew revenue 4.9%, shrank operating income 2.3%, and generated $472 million of free cash flow. The investment fund marked up one private position by $1.61 billion and turned that into $5.15 of diluted EPS. Non-GAAP net income — which strips out the strategic gains — actually fell 1.5% to $464 million. Every ratio that matters for the operating business compressed: gross margin, GAAP operating margin, non-GAAP operating margin, and free-cash-flow margin (37.0% versus 41.7% a year ago).

Guidance is steady rather than exciting. Q3 revenue of $1.275–$1.280 billion is flat with Q2's $1.277 billion; the full-year $5.085–$5.095 billion implies 4.4–4.6% growth over FY2026, with full-year free cash flow of $1.780–$1.820 billion. Nothing in the outlook prices in another Anthropic round — nor could it.

Revenue Deep Dive

Enterprise is the business; Online is the annuity that funds it:

SegmentQ2 FY2027ShareYoY
Enterprise$787.5M61.7%+7.8%
Online$489.7M38.3%+0.6%
Total$1,277.2M100%+4.9%

Enterprise growth of 7.8% is the number management wants you to see — founder and CEO Eric Yuan called it "its strongest growth rate in three years." The mix underneath improved too: 42.3% of the Enterprise increase came from new customers, up from 31.6% in FY2026, so this is not purely upsell to the installed base. Online grew 0.6% with monthly churn flat at 2.9% and long-tenure customers (16+ months) rising to 75.6% of Online MRR. The customer quality metrics all point the same way: 4,625 customers over $100,000 in trailing revenue (+8.2%), and the trailing-12-month net dollar expansion rate for Enterprise ticking up to 99% from 98% — still net contraction, but contracting more slowly.

Management signal scan (August 25, 2026 release; all quotes verbatim):

  • Product ramp (AI portfolio): Yuan: "Our AI-first Customer Experience portfolio continues to scale, delivering high-double-digit ARR expansion, driven in part by strong adoption of Zoom Virtual Agent, whose customer count increased 256% year over year."
  • Market expansion / Enterprise momentum: Yuan: "Total revenue grew 4.9% year over year, anchored by 7.8% growth in Enterprise revenue, its strongest growth rate in three years."
  • Robust demand (Enterprise): Yuan: "FY27 continues to progress well, reflecting focused execution against our three priorities and clear Enterprise business momentum."

Themes not present in the release: demand exceeding supply, an industry upcycle, sustained selling-price increases, and tight supply. There is no pricing language and no capacity language anywhere in the print — this is a seat-expansion software quarter, not a supply-constrained cycle, and AI shows up as a product ramp (Virtual Agent, ZoomMate, AI Productivity Suite) rather than a demand tidal wave.

Tie the bookings language to the balance sheet. Recognized revenue is the income-statement credit on Income:Revenue (−1277.217 MUSD). The subscription promise not yet recognized sits in deferred revenue: $1,549.4 million current, up 9.8% from January 31, asserted on Liabilities:Current:DeferredRevenue. Above that, remaining performance obligations total $4,535.9 million — $1,562.2 million billed plus $2,973.7 million unbilled — with 57% expected as revenue over the next 12 months. That is roughly $2.6 billion of contracted coverage walking into the second half, against a full-year guide that needs about $2.57 billion more.

The Margin Story

Net margin14.1%21.7%39.0%120.8%

*Quarterly column; the rest are fiscal years.

The operating-margin rebuild from 11.6% to the mid-20s is real, but the quarter flatters it in two mechanical ways that cut in opposite directions. Start with gross margin: cost of revenue rose 6.8%, faster than revenue, on a $24.4 million increase in third-party hosting costs "primarily driven by increased platform usage, including growth in AI-related consumption from the launch of new products," partly offset by $7.5 million of data-center optimization savings. AI is a gross-margin headwind before it is a revenue tailwind — 77.6% became 77.2%.

Below gross profit, the lines moved on accounting as much as operations. Sales and marketing fell 2.5%, but $15.9 million of that is the commission-amortization lengthening from three years to five, effective January 31, 2026 — without it, S&M grew about 2% and the operating margin was roughly 23.4%, not 24.6%. General and administrative rose 27.7%, but only because the year-ago quarter held an $18.0 million favorable reversal of an SEC investigation accrual; against a clean prior year, G&A grew about 3.5%. R&D's 17.5% jump is the honest investment line: $23.7 million of personnel, $5.4 million of AI consumption and development. Net margin at 120.8% is not a margin at all — it is the Anthropic quarter, and it belongs in the next section.

The One Big Question: Software Company or Anthropic Fund?

Zoom's non-GAAP reconciliation answers the question management's way — strip the market gain and judge the operations:

GAAP → non-GAAP bridge, Q2 FY2027USD millions
GAAP net income1,542.4
Stock-based compensation + payroll taxes+186.7
(Gains) on strategic investments, net−1,614.2
Acquisition-related expenses+9.3
Tax effects on non-GAAP adjustments+339.8
Non-GAAP net income464.0

The bridge is honest and the conclusion is uncomfortable: the operating business earned $464 million while the investment portfolio earned $1.61 billion. The gain is 5.1 times operating income. And it is mark-to-model, not money: the cash-flow statement adds the whole $1,614.2 million straight back, proceeds from strategic investments were $0.1 million, and the gain consumed $317.7 million of deferred tax assets (down to $328.9 million) with a $318.2 million deferred-tax add-back to operating cash flow.

The Anthropic position built fast. Zoom added $46.0 million in Q1, carrying the stake at $1,266.9 million on Anthropic's February 12 round; added $254.9 million more in Q2; then remeasured it up $1,612.7 million on the May 28 round to a $3,134.5 million carrying value. That one stake is 83% of the $3,785.9 million strategic-investments balance and 23% of Zoom's total assets. Measurement works both ways — an up round writes EPS up, and there is no rule saying the next round is up.

None of this is hidden. The 10-Q names Anthropic, names the round dates, and quantifies the unrealized gain to the decimal. The risk is compositional, not informational: 28% of the balance sheet now rides private AI valuations, H1 poured another $441.1 million into illiquid AI stakes ($300.9 million Anthropic, $140.2 million others), and every future quarter's GAAP earnings carry a venture-fund beta that revenue guidance cannot capture. Judge Zoom on non-GAAP operating income and free cash flow; treat GAAP net income as a portfolio statement until the marks convert to cash.

Tracking a $13.6 Billion Balance Sheet in Plain Text

Double-entry forces every dollar to reconcile: income credits, expense debits, and a venture gain five times operating income still has to sum to zero against net income. That is how we model every company.

Income is negative (credit), expenses positive (debit) — and the $1,614.203 million Anthropic line stands alone, so no reader can mistake portfolio marks for operating leverage. The balance-sheet number that tells the narrative is strategic investments: $591.5 million at January 2025, $1,578.6 million a year later, $3,785.9 million now — a 6.4x expansion in eighteen months, funded by retained marks rather than cash. The ledger asserts it on Assets:NonCurrent:LongTermInvestments (3785.876 MUSD), beside a balance sheet with no debt, $7.25 billion of cash and marketable securities, and $1.55 billion of current deferred revenue.

The arc has three acts. Act one is the pandemic comedown: FY2022's 25.9% operating margin collapsed to 5.6% in FY2023 as sales and marketing ballooned from $1,136 million to $1,697 million and stock compensation hit $1,286 million — 29% of revenue. Act two is the rebuild: S&M cut back to $1,388 million by FY2026, stock comp nearly halved to $761 million (16% of revenue), operating margin restored to 23%. Act three is the one this quarter opens — the portfolio act, where strategic gains ($970 million in FY2026, $1.61 billion this quarter alone) rival the operating business they used to round off. Through all three acts, deferred revenue compounded quietly from $1.14 billion to $1.55 billion: the subscription base never broke. The question for the next three years is whether act three is a windfall that funds act two's continuation — buybacks took out 44.2 million shares with $1.3 billion authorized remaining — or a volatility machine that drowns it out.

The Verdict: Bull vs. Bear

Bull Case

  • Enterprise growth of 7.8% is the strongest in three years, with new customers driving 42% of the increase — the top of the funnel is reopening, not just the installed base expanding.
  • The Anthropic stake marked up twice in two quarters (February and May rounds) to $3.13 billion; every future up round flows straight to book value on a debt-free balance sheet.
  • $7.25 billion of cash and marketable securities plus a 37% free-cash-flow margin funds the buyback (44.2 million shares retired, $1.3 billion remaining) while diluted shares already fell 2.8% year over year.
  • $4.54 billion of remaining performance obligations with 57% converting within twelve months covers more than half the second-half revenue guide before a single new deal closes.
  • Stock compensation fell from 29% of revenue to 16% while operating margin rebuilt from 5.6% to 24.6% — cost discipline survived the AI investment wave.

Bear Case

  • GAAP earnings quality is the worst in the software sector this quarter: $1.61 billion unrealized against $0.1 million of cash proceeds, and the marks reverse the moment a private round prices down.
  • The operating business is still a 5% grower: Online +0.6% with 2.9% monthly churn, Enterprise expansion at 99% is still net contraction, and GAAP operating income declined 2.3%.
  • Excluding the $15.9 million commission-amortization benefit, the operating margin is roughly 23.4%, not 24.6% — the accounting change, not leverage, supplied nearly two points of the year-over-year walk.
  • AI consumption is already a gross-margin headwind (77.6% to 77.2%) with R&D growing 17.5% against 4.9% revenue growth — the AI P&L gets worse before Virtual Agent scale bends it.
  • 28% of total assets now sit in illiquid private AI stakes; management added $441 million more in H1, concentrating rather than harvesting the position.

Our Take

Own the operations, rent the marks. The $464 million non-GAAP quarter — 40% operating margins, 37% free-cash-flow margins, Enterprise accelerating, churn stable — is a good software business compounding at mid-single digits with a shareholder-friendly balance sheet. The $1.54 billion GAAP quarter is a venture position that happened to reprice in July. Value Zoom on the former, treat the Anthropic stake as a call option with a $3.13 billion carrying value and unknowable expiry, and do not annualize a financing round.
