Marvell Technology closed the quarter ended August 1, 2026 with record revenue of $2.739 billion (+37% year over year) and data-center revenue of $2.172 billion (+46%), yet GAAP net income was only $308 million against $866 million on a non-GAAP basis. The $558 million gap is not a mystery line — it is mostly stock-based compensation ($326 million) and amortization of acquired intangibles ($215 million), booked as their own postings in the public Beancount ledger below so a reader can sum the add-backs without leaving the income statement — and comparable on the same AI-infrastructure chart with Applied Materials and Synopsys.

Marvell's fiscal year ends on or about the Saturday nearest January 31. Q2 FY2027 is the three months ended August 1, 2026. GAAP figures below are from the August 27, 2026 press release (Form 8-K Exhibit 99.1) and the Form 10-Q; annual history is from the FY2022–FY2026 Forms 10-K.

Revenue growing 37% while GAAP net income is still less than half of non-GAAP net income is the custom-silicon print: the operating engine is real, and so is the acquisition-and-equity-compensation overhead that GAAP refuses to ignore. Cash from operations of $606 million sits between the two income definitions — stronger than GAAP earnings, still well below non-GAAP.

Tie those quotes to the ledger. Recognized revenue is the income-statement credit on Income:Revenue (−2739 MUSD in Beancount sign convention). Data-center mix at 79% is the commercial story; the balance sheet tells the companion story — goodwill jumped to $13,874M from $11,062M at January 31 as acquisitions landed, and acquired intangibles rose to $2,347M. That is why amortization of acquired intangibles remains a $215M quarterly GAAP expense even as data-center growth accelerates.
Absence is a finding. The release does not say demand exceeds supply, that Marvell is sold out, or that industry supply remains tight. Risk-factor language still flags constrained wafers and substrates, but the prepared commentary is bookings-and-outlook language, not allocation language. The bull case can quote "exceptionally robust" AI bookings; the bear case notes that those words are not yet paired with a supply-constraint confession on the call transcript excerpted here.

GAAP gross margin expanded 2.7 points year over year to 53.1%; non-GAAP gross margin was flat-to-down at 58.9%. The wedge is mechanical: $15.9M of stock-based compensation and $142.7M of acquired-intangible amortization sit in cost of goods sold. Strip them and the gross line looks like a mid-to-high-50s custom-silicon business; leave them and GAAP still improved because scale absorbed more of the fixed acquisition amortization.
Operating expenses were $996M GAAP versus $611M non-GAAP. Inside that gap: $310M of opex stock-based compensation and $72M of opex amortization of acquired intangibles (plus smaller restructuring and "other" items). Pricing language in the release is thin — Murphy talks demand, bookings, Connectivity, and Custom, not ASP lifts — so the margin story this quarter is mix and scale, not a selling-price campaign.
The One Big Question: Why Is GAAP Net Income $308M When Non-GAAP Is $866M?
Non-GAAP net income of $865.9 million is $557.9 million above GAAP net income of $308.0 million. The reconciliation's two largest add-backs are the ones the ledger refuses to bury:

The COGS stock-based compensation figure ($15.9M) comes straight from the Q2 GAAP→non-GAAP reconciliation. The opex stock-based compensation total ($310.3M) is split between R&D and SG&A using the FY2026 Form 10-K functional mix (R&D $409.0M / SG&A $132.6M of opex SBC) because the Q2 10-Q does not republish that table — the comments on those postings say so explicitly. Amortization is moved entirely onto Expenses:OtherNet so a reader summing the non-GAAP bridge can see $215M + $326M ≈ $541M of the gap as named ledger lines before tax and other specials finish the walk to $558M.
This is the custom-silicon investor's real choice: underwrite the AI data-center ramp on non-GAAP, or underwrite the same ramp after paying for prior acquisitions and equity dilution in GAAP. The ledger does not pick a side; it forces both numbers to reconcile to the same zero-sum transaction.
Tracking a $28B Balance Sheet in Plain Text
Double-entry is useful here because the GAAP/non-GAAP debate is usually a slide, not a journal. Modeling Marvell the same way we model every public company — see how we model every company — means every dollar of revenue, SBC, amortization, and net income has an opposite posting, and the balance sheet must still tie.

Five years of Inphi-era amortization and restructuring losses, a FY2026 revenue inflection to $8.2B with a large divestiture gain, and now a FY2027 run-rate that annualizes well above $10B if the raised outlook holds. Our Take. Underwrite the data-center ramp on the revenue and cash-flow lines, not on non-GAAP EPS. The ledger's job is to keep the $558M GAAP/non-GAAP bridge visible as postings — amortization on Expenses:OtherNet, stock-based compensation on the expense lines that earned it — so the Custom-silicon AI story cannot quietly redefine "earnings" without the reader noticing. At $2.74B of quarterly revenue and a raised multi-year outlook, Marvell is finally printing the top line the last five years of M&A were supposed to buy; whether that clears the cost of those deals is exactly what the zero-sum income transaction is for.
